1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the CoreNeural platform, website, APIs, integrations, and related services (collectively, the “Services”).

By accessing or using CoreNeural, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

CoreNeural provides a secure enterprise AI intelligence platform that enables organizations to search, analyze, and interact with internal data, documents, and knowledge repositories through AI-powered workflows, automation, and retrieval systems.

The Services may include:

• Enterprise AI chat and knowledge retrieval
• Document analysis and summarization
• Workflow automation
• APIs and integrations
• Multi-LLM routing and intelligence orchestration

3. Eligibility and Account Registration

You must:

• Be at least 18 years of age
• Have authority to act on behalf of your organization
• Provide accurate and complete registration information

You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

4. License and Permitted Use

Subject to these Terms and applicable subscription agreements, CoreNeural grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services solely for your internal business purposes.

You may use the platform only as permitted by these Terms and any applicable order forms or commercial agreements.

5. Restrictions on Use

You agree not to:

• Reverse engineer, copy, modify, or create derivative works of the Services
• Use the platform to develop competing AI or similar products
• Access the Services for benchmarking or competitive analysis
• Upload unlawful, infringing, or unauthorized data
• Attempt to bypass security controls or access restrictions
• Use the Services in violation of applicable laws or regulations

Unauthorized use may result in suspension or termination of access.

6. Customer Responsibilities

Customers are responsible for:

• Managing user access and permissions
• Ensuring that uploaded data is lawful and authorized
• Complying with internal policies and regulatory obligations
• Maintaining secure credentials and preventing unauthorized access

Customers remain liable for actions of their authorized users.

7. Data Ownership and Customer Content

All Customer Data uploaded to CoreNeural remains the sole property of the customer.

CoreNeural processes Customer Data only to provide the Services and does not claim ownership over such data.

Customers are responsible for ensuring they have all necessary rights, consents, and permissions to upload and process data through the platform.

8. AI Outputs and Use of Results

The Services may generate outputs based on Customer Data and AI processing.

You acknowledge that:

• AI outputs are probabilistic and may not always be accurate
• Outputs are provided for informational and operational assistance
• You are solely responsible for reviewing and validating results before relying on them for business, legal, or compliance decisions
• CoreNeural does not provide legal, financial, or professional advice

9. Subscription, Fees, and Payment

Access to certain features may require a paid subscription.

You agree to:

• Pay all applicable fees as set forth in your subscription plan or order form
• Provide accurate billing information
• Pay applicable taxes and charges

Failure to pay may result in suspension or termination of Services.

10. Security and Compliance

CoreNeural implements enterprise-grade security controls, including encryption, access management, and audit logging.

However, you acknowledge that:

• No system can guarantee absolute security
• You remain responsible for securing your own internal systems and credentials
• You agree not to use the Services to store or process data in violation of applicable security or regulatory requirements

11. Confidentiality

Each party agrees to protect the other party’s confidential information using reasonable safeguards and not disclose such information except as required to perform under these Terms or by law.

Confidential information includes non-public business, technical, and operational information disclosed through use of the Services.

12. Third-Party Integrations and Services

CoreNeural may integrate with third-party applications (e.g., Slack, Teams, Salesforce).

You acknowledge that:

• Third-party services are governed by their own terms and policies
• CoreNeural is not responsible for third-party functionality, security, or availability
• Your use of integrations is at your own discretion and risk

13. Service Availability and Modifications

CoreNeural may modify, update, or discontinue certain features at any time to improve performance, security, or functionality.

We may temporarily suspend access for:

• Maintenance or upgrades
• Security concerns
• Legal or regulatory compliance
• Breach of these Terms

14. Beta Features

From time to time, CoreNeural may provide early access or beta features for testing purposes.

Beta features are provided “as-is” without warranties and may be modified or discontinued at any time.

15. Intellectual Property Rights

CoreNeural retains all rights, title, and interest in and to:

• The platform, software, and models
• Documentation, interfaces, and algorithms
• Improvements, updates, and enhancements

No ownership rights are transferred to customers except as expressly stated.

16. Feedback

If you provide feedback or suggestions, you grant CoreNeural a perpetual, royalty-free right to use such feedback to improve the Services without obligation or compensation.

17. Suspension and Termination

CoreNeural may suspend or terminate access if:

• You violate these Terms
• Payment obligations are not met
• Security risks or legal concerns arise

You may terminate use at any time by discontinuing access.

Upon termination, access rights cease and data handling will follow contractual and privacy commitments.

18. Disclaimers

The Services are provided on an “as-is” and “as-available” basis.

CoreNeural makes no warranties regarding:

• Accuracy or completeness of AI outputs
• Continuous or error-free operation
• Suitability for specific business decisions

To the maximum extent permitted by law, all implied warranties are disclaimed.

19. Limitation of Liability

To the fullest extent permitted by law, CoreNeural shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Reliance on AI-generated outputs

Total liability shall not exceed the fees paid by the customer in the preceding twelve (12) months.

20. Indemnification

You agree to indemnify and hold harmless CoreNeural from claims arising from:

• Your misuse of the Services
• Unauthorized or unlawful data uploads
• Violation of laws, regulations, or third-party rights

21. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any disputes shall be resolved through good-faith negotiations and, if necessary, binding arbitration or courts of competent jurisdiction.

22. Changes to These Terms

CoreNeural may update these Terms periodically.

Updated versions will be posted with a revised “Last Updated” date.

Continued use of the Services constitutes acceptance of the updated Terms.

23. Relationship with Other Agreements

These Terms operate alongside:

• Privacy Policy
• Data Processing Addendum (DPA)
• Commercial SaaS Agreement (if applicable)

In case of conflict, the Commercial SaaS Agreement shall prevail for enterprise customers.
